Terms of Service

1. Agreement to Terms

By accessing or using GeoScored, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing GeoScored.

Your use of the service is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

2. Description of Service

GeoScored is an AI-powered Generative Engine Optimization (GEO) audit tool that analyzes publicly accessible web pages and scores them for readiness in AI-powered search environments. GeoScored is operated by AGENTLAYER LLC d/b/a GeoScored, a Tennessee limited liability company.

GeoScored offers two service tiers:

• Free Tier: Email-gated access. Includes a limited set of checks and a single AI Brand Check. No service level agreement (SLA). No recommendations. No PDF export.
• Full Tier: Paid access as described on the pricing page. Includes the full set of checks, recommendations, PDF export, and priority processing.

The service analyzes publicly accessible web pages only. GeoScored does not access authenticated, private, or login-protected content.

3. AI Visibility Screening Terms

The AI Visibility Screening is a limited service offering. By using the AI Visibility Screening, you acknowledge and agree to the following:

• The AI Visibility Screening includes a limited set of checks and a single AI Brand Check. It does not include full recommendations, PDF export, or any service level agreement.
• An email address is required to view AI Visibility Screening results. By submitting your email address, you agree to receive transactional messages containing your scan results.
• Marketing emails are sent only with your explicit opt-in consent, obtained through a separate checkbox at the time of scan submission.
• AGENTLAYER LLC d/b/a GeoScored reserves the right to modify, suspend, or discontinue the AI Visibility Screening offering at any time without prior notice.
• No uptime guarantee or accuracy guarantee applies to AI Visibility Screenings. AI Visibility Screening results are provided on a best-effort basis.
• AI Visibility Screening usage is subject to rate limits as described in Section 12.

4. Accounts and Registration

Users may create accounts using email verification or Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Each account is for use by a single individual. Shared accounts are not permitted on the free tier. You must be at least 18 years of age, or the legal age of majority in your jurisdiction, to create an account and use GeoScored.

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete.

5. Payments, Refunds, and Taxes

Pricing for scans and scan packs is described on the pricing page. All prices are stated in U.S. dollars.

Applicable taxes, including sales tax, value-added tax (VAT), or goods and services tax (GST), will be calculated and collected at checkout where required by law.

Refunds are issued at AGENTLAYER LLC d/b/a GeoScored's sole discretion. Refund requests must be submitted within 30 days of purchase and are only available for scans that have not yet been delivered. If a scan fails to complete due to a technical defect in the service, you are entitled to a full refund or a replacement scan at your choice.

All payment processing is handled by Stripe, Inc. GeoScored does not store payment card data. Your use of Stripe's payment processing is subject to Stripe's terms of service.

6. Scan Pack and Credit Terms

GeoScored offers scan packs that allow you to purchase multiple scans at a discounted per-scan price. The following terms govern all scan pack purchases and the credits they contain.

6.1 What a Credit Is

A "credit" is a unit of prepaid access to one full GEO audit scan. Each credit entitles you to submit one URL for a complete scan using all features available at the time the scan is initiated. Credits are denominated in scans, not in monetary value. One credit equals one scan, regardless of the price paid at the time of purchase.

6.2 How Credits Are Consumed

One credit is deducted from your account balance when a full scan is initiated. A credit is considered consumed once the scan request is submitted, regardless of the scan outcome. If a scan fails to complete due to a technical defect in the service, AGENTLAYER LLC d/b/a GeoScored will restore the consumed credit to your account or, at your election, issue a refund for that credit in accordance with the refund terms in Section 5.

6.3 No Expiration Under Current Terms

Credits purchased under these Terms do not have an expiration date. You may use purchased credits at any time while your account remains in good standing and the service remains available.

6.4 Modification of Credit Terms

AGENTLAYER LLC d/b/a GeoScored reserves the right to modify the terms governing credits, including the introduction of an expiration policy, with no less than twelve (12) months' prior written notice to affected account holders at the email address associated with their account. Any expiration policy introduced under this provision shall apply only to credits purchased after the effective date of the change, unless otherwise required by applicable law. Credits purchased before the effective date of any such change shall remain governed by the terms in effect at the time of purchase.

6.5 Non-Transferability

Credits are non-transferable. Credits may not be sold, assigned, gifted, or transferred to another user or account. Credits are bound to the account under which they were purchased.

6.6 Pricing Changes

The price of scan packs and individual scans may change at any time. Price changes apply to future purchases only. Previously purchased credits are not affected by subsequent price changes and remain redeemable for scans on a one-credit-per-scan basis regardless of the current listed price.

6.7 Account Termination and Credits

If your account is terminated by you, unused credits are forfeited unless a refund is requested in accordance with Section 5. If your account is terminated by AGENTLAYER LLC d/b/a GeoScored for cause (violation of these Terms), unused credits are forfeited without refund. If your account is terminated by AGENTLAYER LLC d/b/a GeoScored without cause, you are entitled to a pro-rata refund for unused credits based on the price originally paid.

8. Acceptable Use Policy

You may submit only publicly accessible URLs for scanning. You agree not to use GeoScored in any way that:

• Submits URLs with intent to harm, attack, probe, or conduct a denial-of-service attack against target websites or their operators.
• Submits login credentials or attempts to access non-public, authenticated, or private content.
• Circumvents or attempts to circumvent rate limits, automated restrictions, or other technical controls.
• Uses automated tools or scripts to submit scans beyond the documented API terms.
• Resells, redistributes, or sublicenses scan data or results without prior written permission from AGENTLAYER LLC d/b/a GeoScored.
• Submits URLs that direct to content that violates applicable law, including but not limited to content that is defamatory, obscene, or infringes third-party intellectual property rights.

AGENTLAYER LLC d/b/a GeoScored reserves the right to suspend or terminate access for any violation of this Acceptable Use Policy.

8. Intellectual Property

AGENTLAYER LLC d/b/a GeoScored owns all rights, title, and interest in and to GeoScored, including without limitation the scoring algorithms, report templates, aggregated benchmark data, and all related intellectual property.

Scan reports are licensed to the purchasing user for their own internal business use. This license is non-exclusive, non-transferable, and does not include the right to resell, sublicense, or redistribute report content.

You retain ownership of the URLs and brand names you submit to GeoScored. By submitting a URL or brand name, you grant GeoScored a limited license to use that information solely to provide the scan service and, for AI Visibility Screenings, to include the scanned domain and grade in anonymized aggregated data as described in Section 9.

Trademark attribution: Google, ChatGPT, Claude, Perplexity, and other product and company names referenced in GeoScored reports are trademarks of their respective owners. GeoScored is not affiliated with, endorsed by, or sponsored by any of these companies.

9. Aggregated Data Display

For AI Visibility Screening users, the scanned domain and the resulting grade may be included in anonymized, aggregated public statistics, leaderboards, and benchmark reports published by GeoScored. This aggregated data:

• Contains no personally identifiable information. Email addresses and other user data are never included in public aggregations.
• May be retained permanently by AGENTLAYER LLC d/b/a GeoScored for benchmark, research, and product improvement purposes.
• May be displayed publicly on the GeoScored website and in marketing materials.

Full (paid) scan results are private. They are never included in public aggregations, leaderboards, or benchmark reports without your explicit consent.

By submitting a AI Visibility Screening, you acknowledge and consent to this aggregated data use.

10. AI Provider Disclosure

GeoScored queries third-party AI providers as part of the AI Brand Check feature. These providers currently include OpenAI, Google, Anthropic, Perplexity, and Meta. By submitting a scan, you acknowledge and agree that:

• The brand name you submit will be transmitted to one or more third-party AI providers to generate the AI Brand Check result.
• These queries are necessary to deliver the AI Brand Check feature and cannot be disabled for scans that include this check.
• GeoScored uses commercial API tiers with these providers. Your submitted brand name and URL are not used for AI model training by GeoScored or its providers under these commercial API agreements.
• The list of AI providers may change over time. Refer to the current Privacy Policy for up-to-date information on data handling.

11. DMCA / Copyright Notice Procedure

If you believe that content appearing in a GeoScored report infringes your copyright, you may submit a DMCA takedown notice to GeoScored's designated agent:

Your notice must include: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the material claimed to be infringing, with sufficient detail to locate it; (3) your contact information; (4) a statement that you have a good faith belief that the use is not authorized by the copyright owner; (5) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf; and (6) your physical or electronic signature.

Upon receipt of a valid DMCA notice, GeoScored will remove or disable access to the allegedly infringing material and notify the affected user. The affected user may submit a counter-notification if they believe the removal was in error.

AGENTLAYER LLC d/b/a GeoScored has a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers.

12. Rate Limiting Disclosure

AI Visibility Screenings are subject to usage limits to ensure fair access and service availability. Specific limit values are not published and may be adjusted at any time without notice.

Exceeding rate limits may result in temporary restriction of your ability to submit scans. Attempting to circumvent rate limits through automation, IP rotation, or other means is a violation of the Acceptable Use Policy (Section 6) and may result in permanent suspension.

API access is subject to additional rate limits described in the API documentation.

13. API Terms

API access to GeoScored requires an API key issued to an authenticated account in good standing. By using the GeoScored API, you agree to the following:

• Your API key is confidential. You are responsible for maintaining its security and for all activity conducted through it.
• Sharing API keys with third parties, selling API access, or using your API key to provide a competing service is prohibited.
• Automated requests must remain within the rate limits documented in the API documentation. Excessive automated requests that degrade service for other users are prohibited.
• AGENTLAYER LLC d/b/a GeoScored reserves the right to revoke API access without notice for violations of these Terms or for abuse.
• The API is provided on an "as is" basis. No uptime guarantee is provided beyond commercially reasonable efforts.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GEOSCORED DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. GEOSCORED DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY SCAN RESULTS, SCORES, GRADES, OR RECOMMENDATIONS. SCAN RESULTS ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVICE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENTLAYER LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL AGENTLAYER LLC'S TOTAL LIABILITY EXCEED THE GREATER OF FIFTY DOLLARS ($50.00) OR THE AMOUNT YOU PAID GEOSCORED IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless AGENTLAYER LLC d/b/a GeoScored and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

1. (a) your breach of these Terms of Service;
2. (b) the URLs, brand names, or other content you submit to GeoScored;
3. (c) your violation of any third-party rights, including intellectual property rights or privacy rights; or
4. (d) your violation of any applicable law or regulation.

17. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of GeoScored shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted in Hamilton County, Tennessee, or by telephone or video conference at your election.

Either party may bring qualifying claims in small claims court in Hamilton County, Tennessee, in lieu of arbitration, provided the claim remains within that court's jurisdictional limits.

You may opt out of binding arbitration by sending written notice to [email protected] within 30 days of creating your GeoScored account. Your opt-out notice must include your name and the email address associated with your account.

CLASS ACTION WAIVER: YOU AND AGENTLAYER LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

18. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms caused by events beyond that party's reasonable control, including but not limited to natural disasters, pandemics, epidemic outbreaks, government actions or orders, strikes or labor disputes, failures of infrastructure providers, disruptions to AI provider services, and general internet service disruptions.

19. Termination

You may terminate your account at any time by deleting your account through the account settings page or by ceasing all use of GeoScored.

AGENTLAYER LLC d/b/a GeoScored may terminate or suspend your access to GeoScored at any time, with or without cause and with or without notice, for conduct that GeoScored determines to be in violation of these Terms or otherwise harmful to GeoScored, other users, or third parties.

The following sections shall survive any termination of your account or these Terms: Section 6 (Scan Pack and Credit Terms), Section 8 (Intellectual Property), Section 9 (Aggregated Data Display), Section 14 (Disclaimer of Warranties), Section 15 (Limitation of Liability), Section 16 (Indemnification), Section 17 (Arbitration and Dispute Resolution), Section 21 (Governing Law and Venue), Section 23 (Severability), and Section 24 (Entire Agreement).

20. Changes to Terms

AGENTLAYER LLC d/b/a GeoScored reserves the right to modify these Terms of Service at any time. We will provide notice of material changes by sending an email to registered users at the address associated with their account.

Your continued use of GeoScored after receiving notice of a material change constitutes your acceptance of the updated Terms. If you do not agree with any changes, you must stop using GeoScored before the effective date of those changes.

21. Governing Law and Venue

These Terms of Service are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.

Subject to the arbitration provision in Section 17, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Hamilton County, Tennessee, and you consent to personal jurisdiction and venue in those courts.

22. Legal Notices and Contact

Legal notices to AGENTLAYER LLC d/b/a GeoScored must be sent to the physical address below to be effective. Email is accepted for non-legal inquiries and for DMCA notices as specified in Section 11.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

24. Entire Agreement

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and AGENTLAYER LLC d/b/a GeoScored regarding the use of GeoScored. These Terms supersede any prior agreements, communications, or understandings, whether written or oral, relating to the subject matter of these Terms.
